1.1 Both parties will follow STANDARD TERMS AND CONDITIONS FOR INTERNET ADVERTISING FOR MEDIA BUYS (IAB Standard Terms and Conditions Version 3.0) with Governing Law: England and Wales.
1.2 In case of conflict between this document and the IAB terms, this document shall prevail.
1.3 Both parties will follow with the COPPA (Children’s Online Privacy Protection Act) compliance rules.
1.4 This document supersedes any previously agreed-to Terms and Conditions.
2.1 Advertiser shall provide Publisher confirmation of leads, alterations, discrepancy reports and/or value for invoicing purposes not later than the 15th day of the month following the month when the activity took place. Otherwise Publisher will issue the invoice based on Publisher’s reporting system numbers.
2.2 In order to be deemed valid, the discrepancy report must contain all of the following details: period of campaign promotion, name of the campaign, name of advertiser ID, publisher ID and sub IDs. The report should be a proper screenshot from any tracking platform (like Appsflyer, Kochava, Adjust) that is showing the KPI metrics, so Excel reports will not be accepted.
2.3 Advertiser must inform the Publisher 24 hours prior to the end of the campaign.
2.4 Publisher shall invoice Advertiser for all Leads in accordance to Advertiser’s reports for the traffic during the period of this agreement. Payments must be arranged within 30 (thirty) days of the end of the reporting period.
2.5 Advertiser shall pay the Fees equal to the amount in the invoice provided and therefore pay along with the bank fees of its bank.
2.6 Payments which are not made as per the agreed timeframe will bear interest at a rate of one percent (1%) per day (or the highest rate permitted by law, whichever is lower). Advertiser will be responsible for all reasonable expenses (including attorneys’ fees) incurred by Publisher in collecting any past due Fees.
3.1 Publisher must clearly follow with all the requirements listed on the campaign platform and\or assigned by manager. Allowed to use the traffic sources specified in the description of the advertising campaign.
3.2 Payment for publishers leads can be canceled in cases of detecting any fraud activity (that could be proved by necessary report) or non-compliant traffic sources.
3.3 Only the advertiser’s statistics about the advertising campaign is considered correct and could be paid.
3.4 Payment of the publisher’s traffic occurs in 30 days after the reporting month, with confirmation on the 25th, unless there are other arrangements with manager. Invoices with amount lower than 100$ add to the next month invoice.
3.5 The publisher undertakes not to transfer advertisers promotional materials, prices and all other advertising company details to third parties that not attracted to promotion process.
